Agreement to Terms
By accessing articulatedigital.co or working with Articulate Digital, you agree to these Terms of Service. If you do not agree, do not use this website or services.
Services
Articulate Digital provides design-led digital services, including:
- Website design and development
- Lead capture and follow-up setup
- Audits, scans, and consultations
- Digital strategy and implementation support
- Training, documentation, and handoff
Specific scope, timelines, and deliverables are defined in the proposal, checkout page, or service agreement for each service or product.
Decision Products & Professional Judgment
Some Articulate Digital offerings are decision products. These provide professional judgment based on limited client inputs and publicly observable information at the time of review.
Decision products do not include implementation, execution, monitoring, or ongoing support, and do not constitute legal, financial, or operational advice. Outcomes, results, and performance are not guaranteed.
Clients remain responsible for how decisions are interpreted and applied within their business.
User Responsibilities
You agree to:
- Provide accurate information when requested
- Provide access, content, and approvals needed to complete work
- Keep any login credentials confidential
- Use services for lawful purposes
- Not interfere with the site or services
- Respect intellectual property rights
Privacy
Your use of the site and services is also governed by our Privacy Policy.
Payment Terms
- Payment is due based on the terms stated in your proposal, checkout, or service agreement
- All prices are in USD unless stated otherwise
- Late payments may result in paused work or additional fees
- Refunds are only provided when stated in writing or in the service agreement
- We may suspend services for non-payment
Digital Product Purchases
All digital product purchases are final. Due to the immediate access and downloadable nature of these products, refunds are not provided unless required by law.
Intellectual Property
Website content, copy, designs, and other materials on articulatedigital.co are owned by Articulate Digital unless otherwise noted.
For paid client work, ownership of final deliverables transfers to you once full payment is received, as defined in your service agreement. Third-party tools, fonts, plugins, and images remain subject to their own licenses.
We retain rights to general methods, frameworks, and know-how used to produce the work, as long as it does not expose your confidential information.
Digital Products & License
Certain offerings, including downloadable templates, workflows, frameworks, prompt libraries, decision tools, and similar digital products, are licensed, not sold.
Ownership of digital products remains with Articulate Digital at all times.
Upon purchase, you receive a limited, non-exclusive, non-transferable license for use by a single individual for personal or internal business purposes.
This license:
- Does not transfer ownership of the product
- Does not permit redistribution, resale, sublicensing, or public sharing
- Does not permit uploading the materials to public repositories, marketplaces, or shared drives accessible by non-purchasers
- Does not permit claiming the materials as your own intellectual property
You may:
- Modify the materials for your own internal use
- Implement the workflows, prompts, or templates within your own systems
If access is required for multiple team members within an organization, a separate team license is required. Team licensing may be requested by contacting Articulate Digital.
Violation of this section may result in termination of access and revocation of license without refund.
All digital products remain the intellectual property of Articulate Digital.
Service Availability
We aim for reliable access, but we do not guarantee uninterrupted operation of the website. We may update, change, suspend, or discontinue parts of the site or services at any time.
Limitation of Liability
To the maximum extent permitted by law, Articulate Digital is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption.
Our total liability for any claim related to services will not exceed the amount you paid for the specific service that gave rise to the claim.
Indemnification
You agree to indemnify and hold harmless Articulate Digital from claims, damages, losses, liabilities, and expenses arising from your use of services or violation of these Terms.
Termination
Either party may end a service relationship based on the notice and terms in the service agreement. You remain responsible for charges incurred up to the termination date.
Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law rules.
Changes to Terms
We may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.
Dispute Resolution
If a dispute arises, both parties agree to attempt to resolve it in good faith first. If it cannot be resolved, disputes will be handled through mediation or arbitration in Maryland, unless the parties agree otherwise. Each party is responsible for its own costs unless required by law or agreed in writing.
